Corporate Governance from a Perspective of New PRC Company Law

On 29 December 2023, the Standing Committee of the National People's Congress approved amendments to the Company Law of the People's Republic of China (the "New Company Law"), which will take effect on 1 July 2024. The New Company Law deletes 16 provisions of the 2018 Company Law and adds and amends 228 provisions, including 112 substantive amendments, making it the largest amendment to date. As the fundamental law governing the organisational structure and conduct of companies, the New Company Law will inevitably have a number of implications for businesses. This seminar will provide specific guidance and advice on typical scenarios that companies may face under the New Company Law.

全国人民代表大会常务委员会于2023年12月29日批准了《中华人民共和国公司法》(以下简称"新公司法")的修订，该法将于2024年7月1日起生效。修订后的新公司法删除了2018年公司法中16个条文，新增和修改228个条文，其中实质性修改112个条文，是迄今为止规模最大的一次修改。作为规范企业组织结构和行为活动的基本法律，新公司法的修订不可避免地会对企业产生一系列影响。本次讲座将就企业在新公司法下可能面临的典型场景，给与具体的应对指引和建议。
